1. Georgia Security Deed Structure

Georgia uses a security deed (also called a "deed to secure debt") โ€” not a deed of trust and not a traditional mortgage. At closing, the seller or lender receives the security deed while the buyer holds equitable title to the property. Legal title actually stays with the lender or seller until the note is paid in full and a deed of reconveyance is recorded. This is a critical distinction: Georgia is one of only a handful of states using this title-theory structure, and it's why note buyers pay close attention to Georgia paper โ€” the security deed gives the note holder a stronger legal position at foreclosure than a note holder in a lien-theory state. There is no judicial confirmation required to hold the sale itself, and no redemption period for the borrower afterward.

3. Deficiency Judgments โ€” O.C.G.A. ยง 44-14-161

Georgia is a recourse state, meaning deficiency judgments are allowed after foreclosure. However, the lender must confirm the sale within 30 days after the foreclosure sale by filing a confirmation petition with the Superior Court. The court must confirm that the sale was conducted properly and that the property brought its true market value. If the sale price was less than fair market value, the court sets the allowable deficiency based on fair market value โ€” not the actual sale price. This confirmation requirement under O.C.G.A. ยง 44-14-161 is unique to Georgia and exists specifically to protect borrowers from low-bid deficiency judgments.

4. Recording Requirements

Security deeds must be recorded in the county where the property is located under O.C.G.A. ยง 44-2-1. Georgia follows a "race-notice" recording statute โ€” the first party to record generally wins against subsequent purchasers who lack notice.
